Terms of Service

By accessing or using SEO Desk at seodesk.io or app.seodesk.io ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.

1. Eligibility and account registration

You must be at least 16 years old to use the Service (or 18 if required by the laws of your country). By using the Service, you represent that you meet this requirement.

You must sign in using a valid Google account. You are responsible for:

• Maintaining the confidentiality and security of your account
• All activity that occurs under your account
• Notifying us immediately at [email protected] if you suspect unauthorized access

One person or legal entity may not maintain more than one free account.

2. Google API authorization and third-party terms

You can revoke SEO Desk's access to your Google account at any time via your Google Account permissions page. Revoking access will stop data synchronization but will not automatically delete your SEO Desk account or data.

3. Permitted use

SEO Desk grants you a limited, non-exclusive, non-transferable, revocable license to use the Service for your personal or internal business purposes — specifically, to analyze Google Search Console data for websites you own or are authorized to manage.

4. Prohibited use

You agree not to:

• Use the Service to access Google Search Console data for properties you do not own or are not authorized to manage
• Reverse engineer, decompile, disassemble, or attempt to extract the source code of the Service
• Attempt to gain unauthorized access to any part of the Service, its servers, or databases
• Use automated scripts, bots, or scrapers to access the Service in a manner that exceeds normal usage or disrupts its operation
• Resell, sublicense, or commercialize access to the Service without our written consent
• Use the Service to violate any applicable law or regulation
• Use the Service in any way that violates Google's Terms of Service or the Google API Services User Data Policy
• Attempt to circumvent any rate limits, usage quotas, or security measures
• Use the Service to transmit malware, spam, or any harmful content

Violation of these prohibitions may result in immediate termination of your account and, where applicable, reporting to relevant authorities.

5. Data ownership and intellectual property

Your data: You retain full ownership of all Google Search Console data accessed through the Service. SEO Desk does not claim any ownership rights over your data.

Our service: All intellectual property in the Service — including the software, design, trademarks, and content created by SEO Desk — is owned by us or licensed to us. Nothing in these Terms transfers any IP rights to you.

Feedback: If you submit suggestions or feedback about the Service, you grant us a royalty-free, worldwide license to use that feedback without obligation to you.

6. Subscription plans and billing

6.1 Free / Trial plan

The Trial plan is provided at no cost with the features described on the Pricing page. We reserve the right to modify or discontinue the Trial plan with 30 days' notice.

6.2 Pro subscription

Pro subscriptions are billed monthly or annually. Payments are processed securely by Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis.

Subscriptions renew automatically at the end of each billing period unless you cancel before the renewal date. Cancellation takes effect at the end of the current paid period — you retain access until then.

6.3 Refunds

We offer a 7-day money-back guarantee for new Pro subscriptions. Contact us at [email protected] within 7 days of your first payment to request a full refund. After 7 days, payments are non-refundable except where required by applicable law.

6.4 Price changes

We may change subscription prices with at least 30 days' notice by email. Continued use of the Service after the price change constitutes acceptance of the new price.

7. Privacy

Your use of the Service is subject to our Privacy Policy, which is incorporated into these Terms by reference. The Privacy Policy describes in detail how we collect, use, and protect your data, including data obtained via Google APIs.

8. Availability and changes to the service

We aim for high availability but do not guarantee uninterrupted or error-free service. We may perform maintenance that temporarily makes the Service unavailable; we will endeavor to provide advance notice where possible.

We may modify, suspend, or discontinue any features of the Service at any time. For paid plan features, we will provide reasonable notice by email before making significant changes.

9. Account termination

9.1 Termination by you

You may delete your account at any time by contacting us at [email protected] or use account profile setting. Upon deletion:

• Your Google OAuth access token is immediately revoked and deleted
• Your personal data and cached Search Console data are deleted within 7 days
• Active paid subscriptions are cancelled; no partial refunds are issued unless within the 7-day guarantee period

9.2 Termination by us

We reserve the right to suspend or terminate your account immediately and without notice if:

• You violate these Terms or our Prohibited Use policy (section 4)
• We are required to do so by law or a court order
• Your use of the Service creates risk or liability for us or other users

For less serious violations, we will generally attempt to contact you before taking action.

10. Disclaimer of warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that: (a) the Service will be uninterrupted or error-free; (b) any data obtained via the Service will be accurate or complete; or (c) the Service will meet your specific requirements.

11. Limitation of liability

To the fullest extent permitted by applicable law, SEO Desk and its affiliates, officers, and employees shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of profits, data, or goodwill — arising from your use of, or inability to use, the Service.

Our total cumulative liability to you for any claims arising from these Terms or the Service shall not exceed the greater of: (a) the amount you paid us in the 12 months preceding the claim, or (b) €50.

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability, so some of the above may not apply to you.

12. Indemnification

You agree to indemnify and hold harmless SEO Desk and its affiliates from any claims, damages, or expenses (including reasonable legal fees) arising from your violation of these Terms, your use of the Service, or your violation of any third-party rights.

13. Governing law and disputes

These Terms are governed by the laws of Ukraine, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Ukraine.

If you are a consumer in the EU, you may also benefit from mandatory protections under the laws of your country of residence and may contact your local consumer protection authority.

14. Changes to these Terms

We may update these Terms from time to time. We will notify you of material changes by email at least 14 days before they take effect. The "Last updated" date at the top reflects the most recent revision. Continued use of the Service after changes take effect constitutes your acceptance of the updated Terms.
